General Terms and Conditions (GTC) – Vista Robotics

Scope of Application
These General Terms and Conditions apply to all contracts, deliveries, and services between Vista Robotics (hereinafter referred to as the “Provider”) and its customers. Deviating terms and conditions of the customer shall not be recognized unless their validity has been expressly agreed to in writing by the Provider.

Conclusion of Contract
A contract shall be concluded upon written confirmation of the offer by the customer or upon execution of the delivery or service by the Provider. Offers made by the Provider are subject to change and non-binding unless expressly designated as binding.

Scope of Services
The Provider supplies autonomous cleaning devices, accessories, software solutions, and related services. The exact scope of services is defined in the respective offer, order confirmation, or individual agreement. Changes or extensions to the scope of services require written confirmation by the Provider.

Prices and Payment Terms
All prices are net prices plus the applicable statutory value-added tax (VAT). Unless otherwise agreed, invoice amounts are due within 14 days from the invoice date without deduction. In the event of late payment, the Provider is entitled to charge statutory default interest and to suspend further performance until full payment has been received.

Delivery and Installation
Delivery dates are non-binding unless expressly agreed as binding. Delays in delivery or installation due to force majeure, supply shortages, or unforeseen circumstances entitle the Provider to reasonably postpone performance. The customer must ensure that the spatial and technical requirements for installation of the devices are met.

Retention of Title
Delivered goods shall remain the property of the Provider until full payment has been made. Resale or pledging of the goods prior to the transfer of ownership is not permitted without the Provider’s written consent.

Software License
The Provider grants the customer a non-exclusive, non-transferable license to use the supplied software. Modification, decompilation, or distribution of the software is prohibited unless mandatory statutory provisions permit otherwise. Updates and security adjustments will be provided in accordance with the respective service agreement.

Warranty
The statutory warranty period applies to delivered products unless a more extensive guarantee has been contractually agreed. The Provider shall not be liable for damages resulting from improper use, lack of maintenance, or modifications made by the customer. In the event of justified defect claims, the Provider may, at its discretion, provide repair or replacement.

Liability
The Provider shall only be liable for damages resulting from intent or gross negligence. Liability for indirect damages, loss of profit, or consequential damages is excluded unless mandatory statutory provisions provide otherwise.

Operation, Maintenance, and Support
The customer undertakes to use the devices in accordance with the Provider’s operating specifications. Regular maintenance and care are required to ensure proper operation. Recurring maintenance, remote support, or on-site service may form part of the service offering if stipulated in the contract.

Data Protection
The Provider processes personal data exclusively in accordance with applicable data protection laws. Where necessary, separate data processing agreements shall be concluded with customers.

Contract Term and Termination
Unless otherwise agreed, service contracts shall have a term of 12 months and shall automatically renew for an additional 12 months unless terminated with three months’ notice prior to the end of the respective term. The right to extraordinary termination for good cause remains unaffected.

Jurisdiction and Applicable Law
The laws of the Federal Republic of Germany shall apply. The place of jurisdiction for all disputes arising from this contractual relationship shall, to the extent legally permissible, be the registered office of the Provider.

Final Provisions
Should any provision of these General Terms and Conditions be invalid, the validity of the remaining provisions shall remain unaffected. Any amendments or additions to these General Terms and Conditions must be made in writing.
