§ 1 Scope

(1) These general terms and conditions (“GTC”) apply to all contracts for the purchase, rental/leasing and related services (consulting, planning, installation, training, maintenance, service) concerning industrial cleaning robots and accessories between VISTA Sport GmbH – Division VISTA-Robotics (“we”, “seller/lessor”) and its customers.

(2) These GTC apply exclusively to entrepreneurs within the meaning of § 14 of the German Civil Code (BGB), legal entities under public law or special funds under public law. No contracts are concluded with consumers within the meaning of § 13 BGB; should a customer act as a consumer contrary to this provision, they are obliged to inform us of this before the contract is concluded.

(3) Conflicting, deviating or supplementary general terms and conditions of the customer shall not become part of the contract unless we expressly agree to their validity in writing. This also applies if we carry out the delivery or service without reservation in the knowledge of such terms.

(4) These GTC also apply to all future business relationships with the customer without us having to refer to them again in each individual case.

§ 2 Conclusion of contract

(1) Our offers are subject to change and non-binding unless expressly marked as binding.

(2) The customer’s order constitutes a binding offer to conclude a purchase, rental or leasing contract. The contract is only concluded upon our written order confirmation or upon execution of the delivery.

(3) Amendments and additions to the contract must be made in text form (§ 126b BGB).

§ 3 Scope of services: purchase, rental/leasing and additional services

(1) Depending on the agreement, the customer acquires the robots by way of purchase or leases/rents them under a separate leasing/rental contract. The specific conditions (term, instalments, return conditions) are set out in the respective individual contract; these GTC apply additionally unless the individual contract provides otherwise.

(2) In addition to purchase/rental, the following services can be agreed: consulting, planning, installation, instruction/training of staff, ongoing support as well as service and maintenance (also as an all-round service package). The scope of the services booked in each case results from the offer/order confirmation.

§ 4 Prices and terms of payment

(1) Unless otherwise stated, all prices are net plus the applicable statutory value added tax.

(2) Unless otherwise agreed, invoices are due for payment without deduction within 14 days of the invoice date; for larger orders, a payment term of up to 30 days may be agreed.

(3) In the event of default in payment, we are entitled to charge default interest at the statutory rate (§ 288 (2) BGB, currently 9 percentage points above the base interest rate for transactions between entrepreneurs) as well as the lump sum pursuant to § 288 (5) BGB.

(4) The customer may only offset claims that are undisputed or have been legally established. The customer is only entitled to a right of retention insofar as it is based on the same contractual relationship.

§ 5 Delivery

(1) Stated delivery dates are non-binding unless expressly designated as binding in writing.

(2) The risk passes to the customer upon handover to the customer or, in the case of shipment, upon handover to the transport company.

(3) In the event of force majeure (e.g. operational disruptions, supply shortages at upstream suppliers, strikes), the delivery period is extended appropriately; the customer’s right to withdraw from the contract after a reasonable grace period remains unaffected.

§ 6 Retention of title

In the case of purchase contracts, the goods delivered remain our property until all claims arising from the business relationship have been paid in full. In the case of leasing/rental contracts, ownership remains with us or the financing lessor in any case; use takes place exclusively within the contractually agreed framework.

§ 7 Claims for defects / warranty

(1) If the customer is a merchant within the meaning of the German Commercial Code (HGB), they must inspect the goods immediately upon receipt and notify us of obvious defects in writing without delay (§ 377 HGB). If no such notification is made, the goods are deemed to have been approved.

(2) The statutory warranty periods apply (generally two years from delivery for new goods). For used equipment, the period may be reduced to one year in the individual contract.

(3) Any manufacturer’s guarantees exist independently of our statutory warranty obligations and are passed on to the customer in individual cases, where available.

§ 8 Liability

(1) We are liable without limitation for damage resulting from injury to life, body or health as well as in cases of intent and gross negligence.

(2) In the event of a slightly negligent breach of essential contractual obligations (cardinal obligations), the fulfilment of which makes the proper performance of the contract possible in the first place and on the observance of which the customer may regularly rely, our liability is limited to the foreseeable damage typical for the contract at the time the contract was concluded.

(3) Otherwise, liability for slightly negligent breaches of duty is excluded. Liability under the German Product Liability Act (Produkthaftungsgesetz) remains unaffected.

§ 9 Leasing/rental – supplementary provisions

(1) If a leasing or rental contract is agreed, the conditions set out in the individual contract regarding term, monthly instalment, notice periods and return apply in addition to these GTC.

(2) Maintenance and service during the leasing/rental term must be agreed separately unless they are expressly stated as part of the leasing/rental package.

(3) The customer is obliged to handle the rental object with care and to report any damage to us without delay.

§ 10 Data protection

Information on the processing of personal data in the context of the business relationship can be found in our privacy policy.

§ 11 Final provisions

(1) The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).

(2) To the extent permitted by law, the exclusive place of jurisdiction for all disputes arising from or in connection with this business relationship is our registered office (Radolfzell am Bodensee or the competent court in Konstanz).

(3) Should individual provisions of these GTC be or become invalid, the validity of the remaining provisions shall remain unaffected.
